Stratwit Solutions Ltd. Conditions of Use

These terms and conditions ("Terms") govern all services provided by Stratwit Solutions Ltd. ("Stratwit," "we," or "us"), a digital marketing, SAP Business One, and business consulting firm ("Stratwit," "we," or "us"). You ("Client" or "you") agree to be bound by these Terms by engaging our services. Please peruse these terms attentively before utilizing any Stratwit Solutions Ltd. services.

1. Services Offered:

Digital marketing, SAP Business One implementation and support, and business consulting services are provided by Stratwit Solutions Ltd. The specifics of the services will be outlined in a distinct written contract or statement of work ("SOW").

Secondly, confidentiality:

All sensitive or proprietary information disclosed during the course of the engagement will be held in strict confidence by both parties. Confidential information consists of, but is not limited to, business plans, financial data, customer profiles, and marketing strategies, as well as any other non-public information.

3. Intangible Assets:

Unless otherwise agreed upon in writing, all intellectual property, including but not limited to software, documents, reports, designs, and concepts, created or provided by Stratwit Solutions Ltd. during the engagement shall remain the property of Stratwit. The Client is prohibited from reproducing, distributing, or disclosing any intellectual property without Stratwit's prior written consent.

Payment Conditions:

The circumstances of payment will be specified in the SOW or contract. All invoices are due and payable within a week (7 days) of the invoice date, unless otherwise specified. Any late payments may incur interest at a rate of [2]% per month, or the utmost rate granted by law, whichever is greater.

5. Conclusion:

Either party may terminate the agreement by providing the other with written notice. In the event of termination, the Client shall pay for all services rendered up until the date of termination, as well as any expenses incurred on their behalf but not yet paid.

6. Liability Limitation:

Stratwit Solutions Ltd. shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the services provided, including but not limited to lost profits, data loss, or interruption of business.

7. Damage compensation:

The Client agrees to indemnify and hold blameless Stratwit Solutions Ltd., its employees, agents, and contractors from any claims, liabilities, damages, or expenses resulting from the Client's use of the provided services.

Non-Solicitation Clause:

During the engagement and after its termination, the Client shall not solicit, hire, or engage directly or indirectly any of Stratwit Solutions Ltd.'s employees, contractors, or consultants involved in providing the services without prior written consent. In the event that the Client breaches this non-solicitation clause and hires or engages any of Stratwit Solutions Ltd.'s employees, contractors, or consultants within the specified period without obtaining the required written consent, the Client shall pay Stratwit Solutions Ltd. $50,000 Canadian in liquidated damages. This liquidated damages amount represents a reasonable estimate of the damages that Stratwit Solutions Ltd. may incur as a result of such unauthorized employment or engagement; it is not a penalty.

Given the difficulty in determining the actual damages that may result from a breach of this non-solicitation clause, the parties concur that this amount of liquidated damages is fair and reasonable. The payment of liquidated damages does not absolve the Client of its obligation to comply with this non-solicitation clause or any other obligations under the engagement.

Both parties recognize that this non-solicitation clause is necessary to protect Stratwit Solutions Ltd.'s interests and its business. The Client acknowledges that the aforementioned restriction is necessary to protect the valuable relationships and expertise of Stratwit Solutions Ltd.'s employees, contractors, and consultants.

9. Legal System and Jurisdiction:

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with [Jurisdiction] law. The parties agree that any legal action or proceeding shall be conducted exclusively in the [Jurisdiction] courts.

Modification of Terms:

Stratwit Solutions Ltd. reserves the right to make modifications to these Terms at any time. Any modifications will be communicated in writing to the Client or by amending the Terms on our website. The Client's continued use of our services following the implementation of such modifications constitutes acceptance of the updated Terms.
